TERMS OF SERVICE

Welcome to GigDay. These Terms of Service ("Terms") govern your access to and use of the GigDay mobile application and website (collectively, the "Service"), operated by VRDJ (UEN 53518780K), registered in Singapore ("we", "us", "our").

By creating an account or using GigDay, you agree to these Terms. If you do not agree, do not use the Service.

1. ELIGIBILITY

You must be at least 18 years old and legally able to enter into a contract to use GigDay. By using the Service, you represent that you meet these requirements.

2. YOUR ACCOUNT

- You are responsible for keeping your password secure
- You are responsible for all activity under your account
- Notify us immediately at support@gigday.app if your account is compromised
- One person may only register one account
- You may not impersonate another person or entity
- We may suspend or terminate accounts that violate these Terms

3. THE SERVICE

GigDay is a platform that helps gig professionals create packages, send quotations, sign contracts, manage bookings, process payments, and organise event documents. We provide the technology — you operate your own business.

GigDay is NOT:

- A booking agent or talent agency
- An employer of users
- A party to any contract between users and their clients
- Liable for the quality, safety, or legality of services delivered by users

4. USER CONTENT

You retain full ownership of all content you upload (photos, videos, audio, documents, set lists, contracts, messages, etc. — collectively "Your Content").

By uploading Your Content, you grant GigDay a limited, non-exclusive, worldwide, royalty-free licence to host, store, display, and transmit Your Content solely to operate the Service for you.

You are solely responsible for:

- Ensuring you have the rights to upload Your Content
- The accuracy and legality of Your Content
- Any consequences of sharing Your Content with others

5. PROHIBITED CONDUCT

You may not:

- Use GigDay for any illegal purpose
- Upload content that is illegal, infringing, defamatory, harassing, hateful, or sexually explicit
- Upload malware, viruses, or harmful code
- Attempt to hack, reverse-engineer, or disrupt the Service
- Scrape, harvest, or collect data from other users without permission
- Impersonate other users or send spam
- Circumvent fees, payment systems, or platform controls
- Use GigDay to compete with GigDay or build a competing product
- Exceed reasonable storage or API usage limits

Violation may result in immediate account suspension or termination.

6. PAYMENTS, FEES & PAYOUTS

- Payments are processed by Stripe under Stripe's terms
- GigDay may charge platform fees disclosed at the time of transaction
- You are responsible for your own taxes (income tax, GST, etc.)
- Payouts are subject to Stripe's payout schedule and verification
- Disputed payments are handled by Stripe; GigDay is not a party to chargebacks
- Refunds between users and their clients are the responsibility of the user

7. CONTRACTS & AGREEMENTS BETWEEN USERS

Contracts created through GigDay (including digitally signed contracts) are agreements between the two parties involved — typically a performer and their client. GigDay provides the tooling but is NOT a party to these contracts and accepts no liability for their performance, breach, or enforcement.

Disputes between users must be resolved between the users themselves.

8. INTELLECTUAL PROPERTY

All GigDay branding, logos, software, designs, and content (excluding Your Content) are owned by VRDJ and protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, or create derivative works from GigDay's intellectual property without written permission.

9. THIRD-PARTY SERVICES

GigDay integrates with third-party services including Stripe (payments), Cloudinary (media), Resend (email), Apple Push Notification Service, and others. Your use of these services is governed by their respective terms. GigDay is not responsible for third-party service outages or errors.

10. SERVICE AVAILABILITY

We strive for high uptime but do NOT guarantee:

- Uninterrupted or error-free Service
- That bugs or defects will be fixed within a specific timeframe
- That data loss will not occur (back up your important content)

We may modify, suspend, or discontinue any feature at any time, with or without notice.

11. ACCOUNT TERMINATION

You may delete your account at any time:

- In the app: Settings → Account → Delete Account
- By email: support@gigday.app

We may suspend or terminate your account immediately if you:

- Violate these Terms
- Engage in fraud or illegal activity
- Pose a risk to other users or the platform
- Have been inactive for an extended period

Upon termination, your access ends immediately. Your Content may be deleted within 30 days, subject to legal retention requirements.

12. DISCLAIMERS

GigDay is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

- The Service will meet your specific requirements
- The Service will be uninterrupted, secure, or error-free
- Results from using the Service will be accurate or reliable

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, VRDJ, GigDay, and its directors, employees, and agents will NOT be liable for:

- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business, or goodwill
- Damages exceeding the amount you paid GigDay in the 12 months preceding the claim, or SGD 100, whichever is greater

This limitation applies even if we have been advised of the possibility of such damages.

14. INDEMNIFICATION

You agree to indemnify and hold VRDJ, GigDay, and its team harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any third-party rights or applicable laws

15. APPLE-SPECIFIC TERMS (iOS Users)

If you downloaded GigDay from the Apple App Store, you acknowledge:

a) These Terms are between you and VRDJ — NOT Apple. Apple is not responsible for the Service or its content.

b) Apple has no obligation to provide maintenance or support for the Service.

c) If GigDay fails to conform to applicable warranty, you may notify Apple, who will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.

d) VRDJ — not Apple — is responsible for any product warranty claims, product liability claims, intellectual property claims, and consumer protection claims.

e) You represent that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not on any U.S. Government list of prohibited or restricted parties.

f) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be notified via in-app notification or email at least 7 days before they take effect. Continued use of GigDay after changes means you accept the updated Terms.

17. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of GigDay will be resolved exclusively in the courts of Singapore.

18. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

19. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VRDJ regarding GigDay and supersede all prior agreements.
